Making Money Scams

There are two major economies today in the world which are growing at a fast rate — India & China. In fact, both are being watched closely, and analysts predict that they will be the future economic super powers. There are varying reports as to who is outpacing the other.

Sadly though, there has been a negative side of this development as well: corruption and scandals are increasing alarmingly. And the magnitude of loot involved, as well as the large number of cases which are surfacing, makes one wonder what cost will society have to bear if unbridled corruption wreaks disaster on the development phenomenon. For, though scandals have been exposed and investigations are ordered, there has never been a single case of public money having been recovered. It is you and I who have to make good this loss to state exchequer by paying additional taxes.

In the eighties, there was the Bofors scandal. Rhetoric & politics aside, nothing tangible has happened to this date. Then there were stock market scandals, fodder scam and several others. But, what is being witnessed in the last few months in India is unprecedented.  First, there was this Commonwealth Games scam (Rs. 15000 million or US $326 million), {Rs. 1300 Crore deficit for Commonwealth Games, taxpayers will Pay} followed by the biggest ever 2G Spectrum Scam [] {What is 2G Spectrum?} (Rs. 1700000 million or US $ 38260 million). The list of recent spate of scams is long.

The deadliest cancer society is afflicted with today is corruption. If you it look up on Wikipedia, it describes the adjective form corrupt as ‘utterly broken’. That precisely describes the state of society as a result of this rotten practice by human beings the world over.

The disregard for spiritual or moral conduct for material pursuits leads to a depraved mental state in which the individual chases illicit wealth or other objects of desire.

This is an attempt to reflect on the many dimensions of this pervasive hydra-headed monster. At the extreme inner core of this evil practice is the perverse desire of the individual for self-gratification borne out of extreme greed. The frustrating thought that it has not been controlled, let alone eradicated, even though it is projected to be unlawful and damaging to society, makes me sick.

Making Money Scam

American leadership is reliable in one respect: it consistently undershoots my already low expectations.

Or maybe I have it backwards because I keep forgetting who the authorities are really serving, and it clearly isn’t you and me. As we will discuss below, the latest scam is that the banking regulators are finalizing a mortgage “breakdown” settlement, and they’ve evidently decided to let the industry off the hook for a mere $20 billion.

In Saudi Arabia, the royal family has just offered $36 billion worth of concessions in an effort to placate an increasingly unruly public (this appears to be in addition to pledges to spend $400 billion on education, health care, and infrastructure by 2014). This is in a country with a population just under 26 million, including over 5 million non-nationals who presumably aren’t eligible.

Now you can easily pooh pooh this comparison, since Saudi Arabia is an autocratic country desperately throwing around money to buy off dissidents, right? But this is the kind of money a leadership group will shell out when pressed to defend an existing order. And the US was very quick to hand out funds right, left, and center during the financial crisis. It’s continuing to do so now in less obvious ways, by continued life support for the mortgage market through Fannie and Freddie, the Fed’s super low interest rates and QE2, and non-monetary measures, most important its refusal to make any sort of serious investigation into what happened in the crisis and prosecute key actors.

Most observers, yours truly included, had expected very little from the multi-regulator “foreclosure task force” announced last year. It was clearly designed to be an even more cosmetic exercise than the stress test charade, which does take a certain amount of brazenness (or more likely, confidence in the public’s inability to follow the three card monte). But a bad situation devolved; the Treasury had appeared to be in charge, and that department at least tries to put a minimum level of professional spit and polish into its charades. When OCC acting chair and chief bank enabler John Walsh got up to speak in an official capacity about the process in last week’s Senate Banking Committee hearings, it was evident there was not even going to be an effort to pretend that this was a serious undertaking.

Even so, the mortgage “settlement” trial balloon floated in the Wall Street Journal this evening is an offense to common sense and decency. Notice how the word “fraud” is pretty much verboten in the MSM; the latest code word for what went awry is “breakdown”. This implies a benign sort of neglect, simply of not doing sufficient maintenance which led fussy machinery to quit working. It is mean to avoid contemplating, let along uncovering, Pinto-type decisions of weighing the costs of making the vehicle safer versus the litigation losses resulting from incineration by exploding gas tanks.

The magic number across the industry is a mere $20 billion in civil fines or payments to fund loan mods. We know from BP not to have a great deal of confidence in settlement funds. It is not yet clear what scope of activities get a free pass (fraudulent servicer charges and impermissible compounding fees? failure to convey notes to mortgage trusts as stipulated in the PSA? foreclosing on home where HAMP mods had been promised?) but the industry will want any waiver to be as broad as possible. But in any kind of settlement of fraud, like securities fraud charges, various responsible parties are also barred from working in the industry, sometimes for life. None of that is on the table.

The plan involves having servicers give borrowers principal mods, but obviously only to the extent of the fund amount. The WSJ story announces that mortgage investors will suffer no losses. This shows how backwards the logic here is. Investors would LOVE principal mods to qualified borrowers; it’s far better than taking 70%+ losses on foreclosures. So saving RMBS investors any pain should never have been a feature of the plan design. And that means it is really a fig leaf for avoiding writedowns on second liens, which are heavily concentrated in the four biggest TBTF banks.

The officialdom is taking the stance that only a small number of borrowers suffered wrongful foreclosures. The HAMP fiasco alone makes that patently untrue. And the regulators’ failure to compare servicer records with borrower records (the short time frame of the task force effort guarantees that did not take place) makes this a garbage in, garbage out exercise. And that’s before you get to the question of fraudulent servicer charges, which foreclosure defense lawyers say represent 50% to 70% of the cases they handle (it’s easier to win based on standing so court records do not reflect the borrower reason for choosing to fight the foreclosure). Without an audit of servicer software, this regulatory assessment was a simple “see no evil” exercise.

Nor do I see any mention of imposing new servicing standards on banks, another massive oversight.

The servicers, as well as Fannie and Freddie, would be required to provide principal mods. But given the meager settlement amount, this is a complete and utter joke. The mods will be too shallow and too few in number to help either borrowers or the housing market. Both J.C. Flowers and Wilbur Ross, both very tough minded investors, have found deep principal mods work, and research supports their views. Why are borrowers going to struggle to make home payments when they still face a loss and/or a big tax bill when they try to sell the home?

If you assume a combined first and second mortgage balance of $200,000 and a mod of 10%, or $20,000, which is too low to make much difference to borrowers and well short of what investors would accept (given 70%+ expected losses on a foreclosure, 25% to even 50% is a no brainer), you get 1,000,000 mods. That sounds peachy until you realize that nearly 30% of the homes in the US, a total of 15.7 million, are underwater and prices are projected to fall further this year. And most are underwater by more than 10%. So even if this works as advertised, who gets help is likely to be capricious and the amount of help will be insufficient.

And as Marcy Wheeler correctly points out, this program is really HAMP 2.0. When a small group of bloggers visited the Treasury last August, HAMP was such an obvious failure that the staff didn’t even try hard to defend it. One of the excuses offered by Geither was that Treasury lacked authority over servicers (a point I disputed, since Treasury has plenty of leverage at its disposal). So there isn’t even any reason to believe the banks (ex perhaps the Fannie and Freddie loans) will live up to their commitment do a paltry number of mods. As Marcy noted:

…basically, it sounds like HAMP II–a “plan” that still lets banks decide how to implement that “plan”–with the sole improvement on HAMP I that it requires 2nd Liens to be “reduced” (but not eliminated) in the process of modifying the first liens.

The deal wouldn’t create any new government programs to reduce principal. Instead, it would allow banks to devise their own modifications or use existing government programs, people familiar with the matter said. Banks would also have to reduce second-lien mortgages when first mortgages are modified.

The good new is it does not sound like there is a deal agreed. The powers that be have yet to corral the state AGs (since when were they going to be part of this scheme?) and the servicers themselves.

So readers can help create heat on the officialdom. It would be very useful to come up with estimates of various types of damages (and it needs to be bottoms up, not “the global financial crisis cost X trillion and at least 25% is the fault of these clowns). First would be a list of types of damage done, and it should be mutually exclusive, and ideally collectively exhaustive. Next are any factoids that would help dimension the level of overall damage per category. For instance, some readers yesterday started using the Massachusetts lost recording fee estimate to try to ballpark the recording fees lost to MERS on a national basis.

Having the level of damages (which would certainly wipe out the banks, but we want everyone reminded of that fact, that any “settlement” is yet another gimmie) then serves as a basis for talking about monetary settlements and other required behavioral changes. The adverse reaction to the Center for American Progress’ Fannie and Freddie “reform” trial ballon apparently did put the powers that be on the back foot; reader information gathering and ideas here would be of great value in putting forward an even more forceful rebuttal to this disgraceful proposal.

On Monday evening, I watched my first of all, The Previous Phrase host Lawrence O’Donnell.
Even while O’Donnell laudably tried using to emphasis the audience’s awareness onand hopefully very last, Charlie Sheen trainwreck interview, courtesy of the tragic undertow that threatens to pull Sheen beneath for excellent, I was overtaken, not from the pulling about the thread, plus the voracious audience he serves. It did not make me depressing, it produced me angry.

Relating to celebrities, we are able to be a heartless country, basking in their misfortunes like nude sunbathers at Schadenfreude Beach. The impulse is understandable, to some degree. It might be grating to pay attention to complaints from consumers who have fun with privileges that many of us can’t even think about. In the event you can’t muster up some compassion for Charlie Sheen, who tends to make even more moolah to get a day’s operate than many of us will make in the decade’s time, I guess I cannot blame you.

With the speedy tempo of occasions on the net and therefore the advice revolution sparked through the On-line, it’s especially painless for that know-how market place to consider it is distinct: continually breaking new ground and performing elements that no one has actually achieved ahead of.

But you can get other kinds of internet business which have by now undergone some of the exact radical shifts, and also have just as terrific a stake with the long run.

Get healthcare, for instance.

We quite often imagine of it being a immense, lumbering beast, but in truth, medication has undergone a sequence of revolutions with the previous 200 years that happen to be no less than equal to individuals we see in technological innovation and facts.

Less understandable, but even now in the norms of human nature, will be the impulse to rubberneck, to slow down and find out more about the carnage of Charlie spectacle of Sheen’s unraveling, but on the blithe interviewer Sheen’s lifestyle as we pass it with the correct lane of our daily lives. To become honest, it could possibly be difficult for folks to discern the big difference in between a run-of-the-mill focus whore, and an honest-to-goodness, circling the drain tragedy-to-be. On its individual merits, a quote like “I Am On the Drug. It is Termed Charlie Sheen” is sheer genius, and we can not all be expected to take the complete measure of someone’s lifestyle every single time we listen to anything amusing.

Extremely fast ahead to 2011 and I'm attempting to look into usually means of becoming a bit more business-like about my hobbies (typically music). From the end of January I had manned up and began to advertise my blogs. I had designed a number of unique weblogs, which were contributed to by colleagues and colleagues. I promoted these pursuits thru Facebook and Twitter.

Second: the tiny abomination that the Gang of Five on the Supream Court gave us a 12 months or so ago (Citizens Inebriated) truly includes somewhat bouncing betty of its own that may quite well go off with the faces of Govs Wanker, Sacitch, Krysty, and J.O. Daniels. Seeing as this ruling extended the principle of “personhood” to both businesses and unions, to experiment with to deny them any most suitable to operate in the legal framework that they had been organized below deprives these “persons” of your freedoms of speech, association and movement. Which implies (after yet again, quoting law school trained family members) that both the courts should uphold these rights for the unions (as individual “persons” as assured from the Federal (and most state) constitutions, or they've to declare that these attempts at stripping or limiting union rights should utilize to important corporations, also.

Money Making Secrets

(Editor’s note: Curtis Smolar is a partner at Ropers Majeski Kohn & Bentley. He submitted this column to VentureBeat.)

A reader asks: My business is in an industry where sales people and software engineers are often recruited by competitors.  How can I protect my company from being raided?

Answer: Employers use what are called restrictive covenants to protect trade secrets and prevent employees from unfairly stealing clients and/or information.  Courts heavily scrutinize these covenants so it is imperative to have a seasoned attorney assist you with writing one that will be enforceable under the laws of the state where your company is located. (Just missing a few words can create tremendous grief for an employer.)

There are a variety of these available, but let’s look at the most common:

Non-disclosure agreeements: Non-disclosure agreements (“NDAs”) are one of the most effective and commonly used solutions to this problem.  An NDA protects information that is a trade secret – data that has economic value (actual or potential) due to its exclusivity and is something you’re making efforts to keep secret.

Taking trade secrets without the owner’s consent is called misappropriation and if an employee misappropriates a trade secret, a company has the right to recover:

  • Actual damages it suffers from the theft

  • Repayment of the money made by the employee (or his new employer) as a result of the trade secret theft

  • Injunctions requiring the return of the stolen property

  • Attorney’s fees

To ensure the full protection of an NDA, you’ll need to require the employee to sign a confidentiality agreement when they come on board that defines the scope of information your company is trying to protect.  This can be anything from a company’s secret sauce to pricing, lists and business processes.

Additionally, the NDA should contain a proprietary inventions assignment agreement (PIAA), which ensures that all work products created by the employee belong to the company and not to the employee – and the employee has no right to take them when he or she leaves the company.  This can include everything from software programs to customer lists to website designs to pricing.

Covenants not to compete – Better known as non-compete agreements, the enforceability of these varies dramatically from state to state.  In the states in which they are enforceable, like New York or Massachusetts, they can be very powerful tools.  In other states, like California, they are generally prohibited.

California specifically has a statute stating that restrictive covenants not to compete are presumed invalid unless specific circumstances apply.  For example, if the owner of a company sells their business, a non-compete may be enforceable against him or her in California.

For the states where these are enforceable, there are still some restrictions based on the duration of the agreement, geographical location and the breadth of activity prohibited.

Additionally, in many cases it doesn’t matter where the agreement was entered into or what the laws are there. If the employee moves to another state, either during or after employment, things can become muddled. So, it’s best to use non-competes with great caution. They may not be as effective as you initially think.

Non-solicitation – There are basically two kinds of non-solicitation agreements – non solicitation of employees and non-solicitation of clients.

Non-solicitation of employees is generally enforceable in most states, but a non-solicitation of clients may be considered an unfair restraint on trade.  The exception in those situations is if the non-solicitation agreement is necessary to protect trade secrets.

Non-solicitation agreements are generally less onerous then covenants not to compete and typically more enforceable.

“It is not possible for anyone but Apple to sell e-books at a profit on iOS under these rules,” says Morin, founder and CEO of BeamItDown Software, which makes an e-book app called iFlow Reader and sells books via its own online store.

Apple’s new rules, announced yesterday, say that developers such as BeamItDown must make their products available through Apple’s own store, where Apple takes a 30 percent cut of revenues. The change will affect companies that make their content—everything from books to movies and videos to TV shows—available to owners of Apple devices.

Until now, Morin and others, like Amazon, have sidestepped Apple’s store by employing a clever workaround—when you click on a button to buy a book, you are taken out of the app to a browser, where the transaction takes place.

Morin says Apple has told him in the past that this was perfectly fine.

“The bottom line is that unless the FTC intervenes, this will put us out of business,” says one developer. “Given Apple’s political clout, this probably will not happen."

But now Apple has changed its tune. Its new policy says that booksellers can keep selling books outside the Apple store, but only if they also make the same books available inside Apple’s store as well.

Thing is, most customers will buy via Apple, because it’s more convenient. And that’s where the problem arises.

Morin says he makes less than 30 percent profit on the books he sells. So if he has to sell via Apple’s store, he will lose money on every book he sells. On a $10 book, he will lose $1.15.

“The bottom line is that unless the FTC intervenes, this will put us out of business,” Morin says. “Given Apple’s political clout, this probably will not happen. But there is no doubt that their practices are anti-competitive. We have a much better e-reader than Apple, but that is utterly irrelevant in the totalitarian world of iOS.”

Even the big guys, like Amazon and Barnes & Noble, will suffer under Apple’s new rules, Morin says. Amazon and Barnes & Noble did not respond immediately to requests for comment. Neither did Apple.

Worse yet, Morin says, Apple’s new policies will prevent small developers from dreaming up new ideas for the iPad. “This is the death of innovation in e-readers on iOS,” Morin says.

Apple’s new rules also have huge implications for companies like Netflix and Hulu, which sell movies and TV shows via subscription. Essentially, Apple is demanding a 30 percent cut of their ongoing revenues from iPads. That’s the price for making their content available to customers who own Apple devices.

There’s no sense fretting about whether or not this is fair. Apple has a right (and, indeed, an obligation, as far as its shareholders are concerned) to extract as much value as possible from the online ecosystem it has created.
